This Agreement is entered into between The Package System LLC, State of Florida (“Disclosing Party”), represented by Bryan Wetmore, CEO / Founder / Inventor, and the (“Receiving Party”) identified below.
The purpose of this Agreement is to allow the Receiving Party to review confidential information relating to PKGSys™ and the insulated PKGBag™ delivery protection system, including confidential product demonstration videos and related materials, solely for evaluation of potential licensing, manufacturing, or business partnership opportunities.
Confidential information includes product concepts, designs, demonstrations, videos, prototypes, manufacturing methods, and business plans related to PKGSys™ and PKGBag™.
The Receiving Party agrees not to disclose, reproduce, or use any confidential information for any purpose other than evaluating a potential business relationship with The Package System LLC without written permission.
The confidential product video and related materials may only be shared internally with employees or executives of the Receiving Party who are directly involved in evaluating a potential business relationship and who are informed that the information is confidential. The materials may not be forwarded, distributed, or shared outside the Receiving Party’s organization without written permission from The Package System LLC.
This Agreement shall remain in effect for five (5) years from the date of signature.
All intellectual property and confidential information relating to PKGSys™ and PKGBag™ remain the exclusive property of The Package System LLC.
This Agreement shall be governed by the laws of the State of Florida. Electronic signatures shall be considered legally binding and equivalent to handwritten signatures.
